Governance
Fiscal Sponsor Status
PDBHAI is developing as a charitable public-benefit initiative and preparing for fiscal sponsorship. We are transparent about where we stand today.
What Fiscal Sponsorship Means for PDBHAI
Fiscal sponsorship allows PDBHAI to operate with nonprofit governance and accountability while we build toward independent charitable status.
Nonprofit Governance
PDBHAI will operate under the nonprofit sponsor's bylaws and governance structure, ensuring our charitable mission is protected by independent oversight.
Tax-Deductible Donations
Once active, donations to PDBHAI will be tax-deductible as charitable contributions under the fiscal sponsor's 501(c)(3) status.
Conflict-of-Interest Oversight
All related-party transactions and conflicts of interest will be reviewed and approved by the fiscal sponsor's governance board.
Public Accountability
Financial reports and governance decisions will be subject to nonprofit transparency requirements, making our operations publicly accountable.
Charitable Use Only
All funds are restricted to our charitable mission. No charitable assets may be used for commercial purposes or to benefit related commercial entities.
Pre-Sponsorship Status: What We Are Not Doing Yet
We want to be clear about the boundaries of our current phase.
No donation flows exist today. Any future donations will go through the fiscal sponsor only.
We follow our own conflict-of-interest policies and will submit to sponsor oversight once active.
We are developing our guides, governance documents, and advisory relationships now.
We are identifying and evaluating qualified fiscal sponsors aligned with our charitable mission.
Related-Party Governance
During our development phase, we maintain strict conflict-of-interest and related-party policies to ensure that Aegis/Harbor relationships do not compromise PDBHAI's charitable mission or family focus.
Full transparency on founder and Aegis relationships.
Detailed policies for reviewing and approving any related-party transactions.
Ensures the founder's interest in Harbor does not influence PDBHAI's neutrality or family-centered focus.
Rules for accepting support from providers, vendors, or commercial entities.
